PREAMBLE

Hợp đồng này được lập dựa trên cơ sở hiểu biết sau đây giữa các Bên:

This Agreement is made on the basis of the following understanding between the Parties:

Điều 1. Giải thích từ ngữ:

Article 1. Interpretation of terms:

Trong Hợp đồng này, các thuật ngữ dưới đây được hiểu thống nhất như sau:

In this Agreement, the following terms are construed as follows:

1. “Sản phẩm” bao gồm các Sản phẩm được liệt kê trong Phụ lục A.
2. “Products” includes the Products listed in Appendix A.
3. “Quyền sở hữu công nghiệp” là một hoặc các quyền được Nhà nước bảo hộ theo pháp luật Sở hữu trí tuệ (Tên, số văn bằng bảo hộ ……………………)
4. “Industrial property right” means the right(s) protected by the State under the law of Intellectual Property (Name, number of protection title ……………………)

d.”Thông tin công nghệ” là các thông tin cần thiết nhằm áp dụng công nghệ để triển khai sản xuất, tạo ra Sản phẩm nêu tại Phụ lục A. Thông tin như vậy bao gồm các chỉ dẫn, tính toán, đặc điểm, thông số chế tạo, bản vẽ, các bản in, ảnh, bản đồ và phần mềm máy tính hoặc các thông tin cần thiết khác.

d “Technological information” means information necessary to apply technology to deploy production of Products set forth in Appendix A. Such information includes instructions, calculations, characteristics, manufacturing specifications, drawings, prints, photographs, maps and computer software or other necessary information.

4. “Tài liệu” là một bộ phận của công nghệ được nêu tại khoản 4.1 Điều 4 của Hợp đồng.
5. “Documentation” means a part of the technology set forth in Clause 4.1, Article 4 of the Agreement.
6. “Đào tạo” là một nội dung chuyển giao công nghệ được nêu tại khoản 4.2 Điều 4 của Hợp đồng.
7. “Training” means a technology transfer content set forth in Clause 4.2, Article 4 of the Agreement.
8. “Hỗ trợ kỹ thuật” là sự giúp đỡ cần thiết của Bên giao cho Bên nhận để đảm bảo sản xuất được Sản phẩm thoả mãn các chỉ tiêu kỹ thuật nêu tại Phụ lục A hoặc /và để loại bỏ các khó khăn, thiếu sót trong việc áp dụng công nghệ.
9. “Technical Support” means the necessary assistance of the Licensor to the Licensee to ensure the production of Products that satisfy the specifications set forth in Appendix A or/and to eliminate difficulties and shortcomings in the application of technology.
10. “Kỹ thuật viên” là các chuyên gia do Bên giao cử tới Bên nhận để cung cấp sự Hỗ trợ kỹ thuật.
11. “Technicians” are specialists sent by the Licensor to the Licensee to provide Technical Support.
12. “Lãnh thổ” là nước Cộng hoà Xã hội Chủ nghĩa Việt Nam (và các lãnh thổ khác theo thoả thuận)
13. “Territory” means the Socialist Republic of Vietnam (and other territories by agreement).
14. “Giá bán tịnh” được dùng làm cơ sở thanh toán cho Hợp đồng này được định nghĩa là tổng giá bán Sản phẩm dịch vụ mà trong quá trình tạo ra chúng có áp dụng công nghệ được chuyển giao, tính theo hoá đơn bán hàng trừ đi các khoản sau:
15. “Net Selling Price” used as the basis of payment for this Agreement is defined as the total selling price of Products and services for which the transferred technology is applied in their production, calculated according to the sales invoice, less the following:

– Thuế tiêu thụ đặc biệt, thuế giá trị gia tăng, thuế xuất khẩu (nếu có trong hoá đơn bán hàng);

– Special consumption tax, value-added tax, export tax (if any in the sales invoice);

– Giá mua, tiền vận tải, bảo hiểm, thuế nhập khẩu các bán thành phẩm, bộ phận, chi tiết linh kiện được nhập khẩu hoặc mua từ trong nước;

– Purchase price, freight, insurance, import tax for semi-finished products, parts, details and components imported or domestically purchased;

– Chi phí bao bì, chi phí đóng gói, chi phí vận tải Sản phẩm đến nơi tiêu thụ, chi phí quảng cáo

– Packaging costs, packing costs, transportation costs for products to the place of consumption, advertising costs

1. “Bất khả kháng” là những sự kiện nằm ngoài tầm kiểm soát của một trong các Bên, gây cản trở hoặc làm chậm trễ việc thực hiện bất cứ quyền hoặc nghĩa vụ nào nêu trong Hợp đồng (Ví dụ bao gồm: chiến tranh, nổi loạn, bạo loạn, hành động phá hoại, đình công, bãi công, cháy, nổ, các tai nạn không thể tránh được, lũ lụt, bão, động đất, các hiện tượng tự nhiên không bình thường khác, các đạo luật hay quy chế của chính phủ có sự thay đổi…)
2. “Force Majeure” means events beyond the control of one of the Parties, which hinder or delay the performance of any rights or obligations set forth in the Agreement (e.g. war, rebellion, riots, acts of vandalism, strikes, fires, explosions, unavoidable accidents, floods, hurricanes, earthquakes, other unusual natural phenomena, changes in government laws or regulations, etc.)

Điều 2. Phạm vi công nghệ

Article 2. Scope of technology

Bên giao đồng ý chuyển giao cho Bên nhận mà Bên giao đã và đang sử dụng để sản xuất các Sản phẩm phù hợp với tất cả chỉ tiêu về sản lượng, chất lượng Sản phẩm, hiệu quả kinh tế/kỹ thuật và bảo vệ môi trường nêu trong Phụ lục A.

The Licensor agrees to transfer to the Licensee the technology that the Licensor has been using to produce the Products in accordance with all criteria in terms of output, product quality, economic/technical efficiency and environmental protection set forth in Appendix A.

Điều 3. Lãnh thổ và độc quyền

Article 3. Territory and monopoly

3.1. Sử dụng công nghệ và sản xuất Sản phẩm.

3.1. Use technology and produce Products.

Bên nhận được độc quyền (hoặc không độc quyền) sử dụng công nghệ để sản xuất Sản phẩm trong phạm vi Lãnh thổ.

The Licensee has the exclusive (or non-exclusive) right to use the technology to produce the Products within the Territory.

3.2. Bán Sản phẩm.

3.2. Sell products.

Bên nhận độc quyền (hoặc không độc quyền) bán Sản phẩm ở trong phạm vi Lãnh thổ (và các thị trường khác trên thế giới).

The Licensee has the exclusive (or non-exclusive) right to sell the Products within the Territory (and other markets around the world).

3.3. Chuyển giao Công nghệ từ Bên nhận cho Bên thứ ba.

3.3. Technology Transfer from Licensee to Third Party.

Bên nhận có quyền hoặc không có quyền chuyển giao công nghệ cho Bên thứ ba trong phạm vi Lãnh thổ phụ thuộc vào quy định của Điều 12 trong Hợp đồng này.

The Licensee may or may not have the right to transfer technology to a Third Party within the Territory subject to the provisions of Article 12 of this Agreement.

3.4. Li-xăng các đối tượng sở hữu công nghiệp (là công nghệ được cấp văn bằng bảo hộ)

3.4. License of industrial property objects (which is the technology granted a protection title)

Bên giao cấp li xăng cho Bên nhận sử dụng độc quyền (hoặc không độc quyền) đối tượng sở hữu công nghiệp trong phạm vi Lãnh thổ ……………………

The Licensor grants to the Licensee an exclusive (or non-exclusive) license to use the industrial property objects within the Territory of ……………………

Điều 4. Cung cấp Tài liệu, Đào tạo và Hỗ trợ kỹ thuật

Article 4. Providing Documentation, Training and Technical Support

Bên giao đồng ý cung cấp mọi Tài liệu, Đào tạo và Hỗ trợ kỹ thuật cần thiết cho Bên nhận để sản xuất Sản phẩm phù hợp với các chỉ tiêu kỹ thuật đã nêu ở Phụ lục A và phù hợp với tiến độ nêu tại khoản 4.4 dưới đây.

The Licensor agrees to provide all necessary Documentation, Training and Technical Support to the Licensee to produce the Products in accordance with the specifications set out in Appendix A and in accordance with the schedule set forth in clause 4.4 below.

4.1. Tài liệu

4.1. Documentation

4.1.1. Phạm vi của Tài liệu, bao gồm:

4.1.1. Scope of the Documentation, including:

1. Bản vẽ, sơ đồ và thiết kế kỹ thuật cho sản xuất và lắp đặt;
2. Drawings, diagrams and technical designs for production and installation;
3. Các chỉ tiêu kỹ thuật;
4. Specifications;
5. Danh mục nguyên vật liệu, linh kiện, phụ tùng;
6. List of raw materials, components and spare parts;
7. Bảng tính toán tổng hợp (nguyên liệu, nhiên liệu, vật liệu, năng lượng, lao động…);
8. General calculation table (raw materials, fuel, materials, energy, labor, etc.);
9. Qui trình và số liệu cho kiểm tra và thử nghiệm, qui trình kiểm tra chất lượng Sản phẩm;
10. Procedures and data for inspection and testing, procedures for quality control of the Products;
11. Qui trình sản xuất và lắp ráp;
12. Manufacturing and assembly process;
13. Cẩm nang hướng dẫn vận hành và bảo dưỡng trang thiết bị;
14. Equipment operation and maintenance manual;
15. Phần mềm máy tính;
16. Software;
17. Công thức và biểu đồ;
18. Formulas and charts;
19. Những tài liệu cần thiết khác.
20. Other required documents.

4.1.2. Hình thức Tài liệu: Tài liệu phải đầy đủ, chính xác, rõ ràng. Ngôn ngữ của Tài liệu được viết bằng tiếng ………… (tên ngôn ngữ). Đơn vị đo lường ghi theo hệ mét.

4.1.2. Documentation format: The Documentation must be complete, accurate and clear. The Documentation is written in ………… (language). The unit of measurement is in the metric system.

4.1.3. Những sai sót (nếu có) trong Tài liệu: Bất cứ sai sót nào trong Tài liệu phải được Bên giao sửa chữa không chậm trễ bằng cách bổ sung, sửa đổi, hoàn chỉnh hay bằng bất cứ phương thức thích hợp nào khác.

4.1.3. Defects (if any) in the Documentation: the Licensor must correct any defects in the Documentation immediately by addition, modification, completion or by any other appropriate means.

4.1.4. Sai sót trong phần mềm của máy tính: Nếu phần mềm máy tính bị hỏng bởi lỗi của Bên giao trong thời hạn của Hợp đồng, thì Bên giao sẽ thay thế ngay lập tức, Bên nhận không phải chịu phí tổn.

4.1.4. Defects in computer software: If computer software is damaged by the Licensor’s fault during the term of the Agreement, the Licensor shall replace it immediately, at no cost to the Licensee.

4.1.5. Những thay đổi trong Tài liệu: Nếu có bất kỳ sự cải tiến, nâng cao, sửa đổi, bổ sung, hay những thay đổi khác trong quá trình thực hiện Hợp đồng đối với Tài liệu thuộc Hợp đồng này thì Bên giao sẽ cung cấp ngay cho Bên nhận.

4.1.5. Changes in the Documentation: If there are any improvements, enhancements, amendments, supplements, or other changes during the performance of the Agreement with respect to the Documentation under this Agreement, the Licensor shall provide such immediately to the Licensee.

4.2. Đào tạo:

4.2.1. Phạm vi Đào tạo: Bên giao đồng ý đào tạo nhân sự cho Bên nhận về các nội dung công nghệ cần thiết để sản xuất Sản phẩm phù hợp với các chỉ tiêu nêu tại Phụ lục A.

4.2.1. Scope of Training: The Licensor agrees to train the Licensee’s personnel in the necessary technological contents to produce the Products in accordance with the criteria set forth in Appendix A.

4.2.2. Chương trình Đào tạo:

4.2.3. Việc thay thế Kỹ thuật viên: Việc thay thế bất cứ Kỹ thuật viên nào đã được hai Bên nhất trí chọn bằng một người khác phải được sự đồng ý bằng văn bản của Bên nhận.

4.2.3. Replacement of Technicians: The replacement of any Technicians mutually selected by the Parties with another person shall be subject to the written consent of the Licensee.

4.2.4. Ngôn ngữ Đào tạo: Ngôn ngữ dùng trong Đào tạo sẽ là tiếng …………………… (ngôn ngữ). Bên giao cam kết cung cấp các tài liệu cần thiết phục vụ cho việc Đào tạo bằng tiếng …………………… (ngôn ngữ).

4.2.4. Language of Training: Language used in Training shall be …………………… (language). The Licensor shall provide the necessary documents for the Training in …………………… (language).

4.2.5. Chi phí Đào tạo (nếu có): Chi phí Đào tạo do Bên ………… chịu. Chi phí được tính theo giờ giảng dạy của Kỹ thuật viên. 4.2.5. Training costs (if any): Training costs shall be borne by …………………… Training costs shall be calculated according to the teaching hours of Technicians. Training costs are billed monthly and paid within …………………… days of billing.

4.2.6. Các chi phí đi lại, ăn ở và các phí tổn khác cho học viên do Bên ………… chịu.

4.2.6. Travel, accommodation and other expenses for trainees shall be borne by ………….

4.2.7. Kết thúc Đào tạo: Vào cuối kỳ Đào tạo, Bên giao và Bên nhận sẽ tổ chức kiểm tra đối với từng học viên và cấp Giấy chứng nhận cho từng học viên. Nếu số lượng học viên đáp ứng được các tiêu chuẩn đặt ra đã đạt được tỷ lệ thoả thuận ………… % thì việc Đào tạo được coi là thành công và kết thúc. Mẫu Giấy chứng nhận được nêu tại Phụ lục B.

4.2.7. End of Training: At the end of the Training period, the Licensor and the Licensee shall organize an examination for each trainee and issue a Certificate to each trainee. If the number of trainees who meet the set standards has reached an agreed rate of ………… %, the Training is considered successful and finished. The Certificate template is set forth in Appendix B.

4.2.8. Không thành công trong Đào tạo: Nếu vào cuối kỳ Đào tạo ………… % học viên không đạt tiêu chuẩn đã đặt ra thì Bên nhận có quyền yêu cầu tổ chức đào tạo thêm trong một khoảng thời gian hợp lý. Mỗi Bên chịu phần phí tổn của mình cho việc đào tạo thêm, trừ khi có sự thoả thuận khác.

4.2.8. Failure in Training: If at the end of the Training period ………… % of the student does not meet the set standards, the Licensee has the right to request additional training for a reasonable period. Each Party shall bear its own cost for additional training, unless otherwise agreed.

4.3. Hỗ trợ kỹ thuật.

4.3. Technical assistance.

4.3.1. Hỗ trợ kỹ thuật trước khi bắt đầu sản xuất: Trong giai đoạn trước khi bắt đầu sản xuất Bên giao sẽ giúp Bên nhận như sau:

4.3.1. Technical Support before production starts: During the period before production starts, the Licensor shall help the Licensee as follows:

– Gửi …………………… Kỹ thuật viên trong …………………… ngày làm việc sang hướng dẫn thiết kế, bố trí dây chuyền sản xuất, lắp đặt thiết bị ……………………

– Send …………………… Technicians in …………………… business days to give guidance on the design and layout of production lines and installation of the …………………… equipment.

(Trường hợp Bên nhận mua dây chuyền thiết bị mà giá thiết bị đã bao gồm cả chi phí lắp đặt, vận hành thử thì trong Hợp đồng không có mục này).

(In case the Licensee buys a line of equipment and the price of the equipment includes the cost of installation and trial operation, this item is not included in the Agreement).

4.3.2. Hỗ trợ kỹ thuật khi bắt đầu sản xuất: Từ khi bắt đầu sản xuất và cho đến khi được cấp Giấy chứng nhận sẵn sàng sản xuất chính thức (nêu tại Mục 4.5 dưới đây), Bên giao đồng ý cung cấp …………………… Kỹ thuật viên có trình độ thích ứng cho Bên nhận trong ……….. ngày để tư vấn, hướng dẫn, giúp đỡ và hỗ trợ Bên nhận những điều cần thiết, nhằm đảm bảo sản xuất Sản phẩm đúng với chỉ tiêu kỹ thuật nêu tại Phụ lục A.

4.3.2. Technical Support at the beginning of production: From the beginning of production and until the Production Readiness Certificate is issued (as set forth in Section 4.5 below), the Licensor agrees to send …………………… qualified Technicians to the Licensee in ………… days to advise, guide, help and support the Licensee with necessary matters, in order to ensure that the Products are manufactured in accordance with the specifications specified in Appendix A.

4.3.3. Hỗ trợ kỹ thuật trong quá trình sản xuất chính thức: Theo yêu cầu của Bên nhận, Bên giao đồng ý cung cấp ngay lập tức sự Hỗ trợ kỹ thuật vào bất cứ lúc nào trong quá trình thực hiện Hợp đồng bằng cách gửi các Kỹ thuật viên thích hợp tới nơi sản xuất hay bằng bất cứ phương tiện khác thích hợp với tình hình diễn ra lúc đó.

4.3.3. Technical Support during official production: At the request of the Licensee, the Licensor agrees to provide Technical Support immediately at any time during the performance of the Agreement by sending qualified Technicians to the production site or by any other means appropriate to the situation at the time.

4.3.4. Yêu cầu đối với Kỹ thuật viên: Tất cả các Kỹ thuật viên mà Bên giao cung cấp cho Bên nhận để Hỗ trợ kỹ thuật phải có trình độ phù hợp, có kinh nghiệm thích hợp và sức khoẻ tốt. Trong khi ở Việt Nam các Kỹ thuật viên phải chấp hành đúng luật lệ hiện hành.

4.3.4. Technicians requirements: All Technicians sent by the Licensor to the Licensee for Technical Support must be suitably qualified, have appropriate experience and be in good health. While in Vietnam, Technicians must comply with current laws.
